Final Tax FAQs

Form 941 (final-return box), Form 940 (box "d"), and the entity return — 1120, 1120-S, or 1065 — marked final with a final K-1. Corporations also file Form 966 within 30 days of adopting a dissolution plan.

Withheld payroll taxes are "trust fund" money. If unpaid, the IRS can assess the full withheld amount personally against responsible individuals — it survives the closure. Always file and pay the final 941.

After all final returns are filed, mail the IRS a letter on company letterhead stating the business closed, the date, and the EIN. The EIN is not reused. This checklist tracks it as the last step.
